1. Summary of the notification
Pursuant to Article 14 of the law of 2 May 2007 on the disclosure of large shareholdings, UCB SA/NV announces that it received a transparency notification from The Goldman Sachs Group, Inc (having its registered office at The Corporation Trust Center, 1209 Orange Street, Wilmington, Delaware, 19801, U.S.A.) on 6 August 2024.
The Goldman Sachs Group, Inc notified that, following a disposal of UCB financial instruments treated as voting securities by its affiliates, its shareholding in UCB SA decreased and crossed downwards the lowest 3% threshold on 31 July 2024.
On 31 July 2024, The Goldman Sachs Group, Inc (taking into account the holding of its affiliates) owned 4.551.484 UCB shares or assimilated instruments, representing 2.34% of the total number of shares issued by the company (194 505 658), in comparison to 3.27% (6 354 011 UCB shares with voting rights or assimilated instruments) in the previous notification dated 5 August 2024.
2. Content of the notification
- Reason for the notification: Acquisition or disposal of financial instruments that are treated as voting securities. Downward crossing of the lowest threshold.
- Notification by: A parent undertaking or a controlling person.
